  1. Definitions
    1. In-Person Training License. An “In-Person Training License” grants one individual the right to attend one Field Sim training.
    2. Class Session. A “Class Session” is a scheduled delivery of training to a group of licensed individuals.
    3. Assigned Licenses. “Assigned Licenses” are In-Person Training Licenses allocated by Customer to a specific Class Session or Grouped Class Sessions for the purpose of scheduling and minimum class size requirements. Assigned Licenses represent a quantity of licenses, are not tied to specific individuals, and may be applied to any attendee.

      Each individual present for a Class Session consumes one In-Person Training License upon attendance.

    4. Grouped Class Sessions. Grouped Class Sessions are two or more Class Sessions scheduled for the same Customer within a defined period and explicitly designated by Field Sim as a single grouped delivery for purposes of minimum license requirements.
    5. Minimum Class Size. Unless otherwise agreed:
      1. Each standalone Class Session requires a minimum of six Assigned Licenses;
      2. For Grouped Class Sessions, the minimum license requirement shall be calculated in aggregate, equal to six licenses per Class Session within the group.
  2. Intellectual PropertyField Sim has invested substantial time and expense in the development of its training courses, training aids, instructional materials, and instructional methods (collectively, “Field Sim Training”). Field Sim Training is proprietary and constitutes protected intellectual property of Field Sim.
    1. Limited Personal Use. Subject to the restrictions below, Field Sim grants Customer and its attendees a limited, non-exclusive, non-transferable license to use Field Sim Training solely for the individual’s personal reference in connection with their own job duties.

      For clarity, personal reference use does not include creating or delivering training, whether internal or external.

    2. Restrictions. Customer shall not, and shall not permit any third party to:
      1. copy, reproduce, reverse engineer, or imitate Field Sim Training for the purpose of creating training materials, courses, presentations, or instructional content;
      2. create derivative works based on Field Sim Training for instructional, commercial, or competitive purposes;
      3. record, photograph, or otherwise capture Field Sim Training except as expressly permitted for personal reference under Section 2.1; or
      4. distribute, publish, share, sell, license, or otherwise make Field Sim Training available to any person who did not attend the training.
  3. Rescheduling and Cancellation
    1. Rescheduling. A “Class Session Rescheduling” occurs under either of the following circumstances:
      1. Customer-Initiated Rescheduling. Upon Customer’s request, a scheduled Class Session is moved to a different date by mutual agreement of the parties.
      2. Field Sim-Initiated Rescheduling. A scheduled Class Session is moved to a different date due to circumstances attributable to Field Sim, including when:
        1. Field Sim requests a date change; or
        2. Field Sim’s trainer fails to appear for the scheduled Class Session. A trainer’s late arrival that does not prevent the Class Session from proceeding shall not constitute a Rescheduling.
    2. Cancellation. A “Class Session Cancellation” occurs when a scheduled Class Session does not occur and no students receive training, including when:
      1. Customer requests that the Class Session not be conducted;
      2. Field Sim requests that the Class Session not be conducted, or continued after the Class Session has begun;
      3. No Customer students appear for the scheduled Class Session;
      4. Customer requests rescheduling but declines all reasonably available alternative dates offered by Field Sim; or
      5. Customer fails to pay the Class Session minimum at least 15 days prior to scheduled start of class.
    3. Notification. Field Sim shall notify Customer promptly if it intends to cancel or reschedule a Class Session.

      Customer shall notify Field Sim promptly if it intends to cancel or reschedule a Class Session or if an individual license holder will not attend.

    4. Effect of Field Sim-Initiated Cancellation. If Field Sim initiates a Class Session Cancellation, Customer shall retain all In-Person Training Licenses associated with that Class Session.
    5. Effect of Customer-Initiated Cancellation. If Customer initiates a Class Session Cancellation:
      1. Training Licenses equal to the Minimum Class Size shall be forfeited;
      2. Any In-Person Training Licenses beyond the required minimum may be retained, provided Customer gave at least 15 days’ notice; and
      3. If multiple Class Sessions are cancelled, the forfeiture applies per cancelled Class Session, or per Grouped Class Sessions if applicable.
  4. Individual Non-Attendance
    1. No-Shows. If a licensed individual does not attend a scheduled Class Session:
      1. Assigned Licenses required to satisfy the minimum class size shall be considered used, regardless of attendance;
      2. Only Assigned Licenses in excess of the applicable minimum shall be retained by the Customer; and
      3. The determination of which licenses satisfy the minimum shall be based on the Assigned Licenses for that Class Session or Grouped Class Sessions, as applicable.
    2. Partial Attendance. If an individual is present for any portion of a Class Session, one In-Person Training License shall be considered used, regardless of the duration of attendance.
    3. Application of Minimums for Grouped Class Sessions. For Grouped Class Sessions:
      1. Assigned Licenses across all sessions in the group shall be combined to satisfy the aggregate minimum; and
      2. Attendance may vary between sessions within the group, provided the aggregate minimum is met; and
      3. Assigned Licenses applied to satisfy the aggregate minimum shall be considered used, regardless of attendance.
    4. Retained Licenses. Unused Assigned Licenses in excess of the aggregate minimum shall be treated as Retained In-Person Training Licenses in accordance with Section 5.
  5. Use of Retained Licenses
    1. Application of Retained Licenses to Future Classes. Retained In-Person Training Licenses may be applied to the same or equivalent future training. Equivalency shall be determined solely by Field Sim.
    2. Refund for Retained Licenses. Customer shall be eligible to receive a refund for payment of Retained In-Person Training Licenses if the refund request is submitted in writing not more than 30 days after the last Class Session ends.

      Licenses for which payment has been refunded are unable to be applied to future training.
